These terms of use apply to every person and applicant that uses the Social Investment Agency’s online application portal (Portal).

Agreement to Terms of Use

This Portal is operated on behalf of the Social Investment Agency (SIA/we/our/us). These Terms of Use apply to the entire contents of the Portal operated by us, and to any feedback, submissions and email correspondence, agreements, reporting and documentation provided through the Portal related to the Social Investment Fund.

Registration

To apply for funding from the Social Investment Fund, you must create an online account. To register, you must use a unique email address to login and then select a password. Once you login, you can create online applications to individual fund pathways within the Social Investment Fund. You must only register on behalf of an organisation or collective if you have the authority to register on behalf of that organisation or collective. You must keep your login and password confidential. For assistance with the account creation process or using the Portal please contact info@sia.govt.nz.

By creating an online account to apply for funding, you confirm that you are a New Zealand registered entity.

Disclaimer/no liability

You acknowledge that applications are made via the Portal solely at the risk of the applicant. The Social Investment Agency is not liable in any way (on any legal basis) for any claim, loss or damage of any kind whatsoever arising out of or in connection with:

• the use of its website, the Portal, any information, content or materials included on the Portal or any website the Social Investment Agency links to; or
• its consideration of your application and the decision it may make regarding funding.

Continuity of service

The Social Investment Agency operates the Portal for the convenience of users and makes no guarantee, warranty or representation, express or implied, as to the reliability or continuity of service. We will endeavour to respond to and resolve user issues in a reasonable time in good faith however we do not guarantee the Portal will work as expected all the time, particularly near closing dates or under high user load. We reserve the right to suspend, terminate or otherwise alter access to some or all of the services accessible via the Portal for any reason, at any time and without notice. We reserve the right to terminate access to the Portal for any breach of these Terms of Use (as determined by the Social Investment Agency in its sole discretion), including breach of confidentiality.

Confidentiality

The Portal contains a range of information that is confidential to the Social Investment Agency and which applicants should not be able to access. If, while using the Portal or engaging in related email correspondence, you access confidential information that does not relate to you or your application you agree to inform the Social Investment Agency about that immediately. You agree to cooperate with the Social Investment Agency to ensure confidentiality of any such information is maintained and not disclosed to third parties and to take actions to prevent third parties from accessing or disclosing such information. Any information you transmit or post to the Portal will be subject to the Official Information Act 1982. This includes feedback or submissions you provide. The Social Investment Agency will take reasonable steps to keep personal information, and information you have identified as commercially sensitive, confidential to the extent permitted by law and will deal with such information in accordance with the Privacy Statement.

Intellectual Property and Unacceptable Uses

The Social Investment Agency acknowledges that it does not own intellectual property you held before creating an online account via the Portal and it will not own any intellectual property you submit via the Portal. You grant the Social Investment Agency a perpetual, irrevocable, royalty-free and non-exclusive licence to use, copy or distribute intellectual property you submit via the Portal to the extent necessary for the Social Investment Agency to consider and evaluate your application and administer the Social Investment Fund. You warrant and confirm that you either own all intellectual property submitted via the Portal or you have the owner’s written consent and/or a licence to use it for the purposes described in these Terms of Use. For the avoidance of doubt, this clause will be superseded by the terms of any funding agreement you enter with the Social Investment Agency and/or the terms of any other agreement with the Social Investment Agency. You warrant that any intellectual property you submit via the Portal (and our use of it for the purposes described in these Terms of Use) will not infringe the intellectual property rights of any third party. You acknowledge that the Social Investment Agency operates the Portal under a licence from a third party and you agree not to do or fail to do anything that:

• infringes on any intellectual property rights held by the Social Investment Agency or any other third party in connection with the Portal;
• would cause the Social Investment Agency to breach its licence; or
• would harm the Social Investment Agency’s reputation.

These unacceptable uses include using (or allowing others to use) your online account for unacceptable uses such as:

• Using or accessing the Portal for illegal or unlawful purposes. Examples include: copyright and trade mark infringement(s), software licence infringements, obscenity, fraud, defamation, plagiarism, harassment, intimidation, forgery, impersonation and computer tampering (e.g. spreading computer viruses or destruction of data owned by others).
• Intentionally using the Portal to disrupt or interfere with any application or evaluation process.
• Attempting to gain unauthorised access to someone else’s confidential information.
• Knowingly or recklessly transmitting or distributing any information or material which contains a virus, worm, Trojan Horse, or any other harmful component.
• Using the Portal to reveal or publicise restricted or proprietary information which you do not own or have permission to use and which includes, but is not limited to: commercial or financial information, new project ideas, intellectual property, or confidential sector information.

Revisions to these terms of use
